Terms of Service Agreement

The information contained in this website is provided as a service to the Internet community and people interested in New London Main Street Program. 1. Warranties for Advertisers

   Advertisers must represent, warrant and covenant (a) that no materials of any kind submitted through any current of future account(s) will (i) violate, plagiarize, or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights; or (ii) contain libelous or otherwise unlawful material; and (b) that truth in advertising is observed. Advertisers hereby indemnify, defend and hold harmless the operators of this site, and all owners, agents, and information providers of and for this site (collectively, the "Indemnified Parties") from and against any and all liability and costs, including, without limitation, reasonable attorneys' fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by an advertisers of this Agreement or the foregoing representations, warranties and covenants. Advertisers shall cooperate as fully as reasonably required in the defense of any such claim. The operators of this site reserve the right, at their own expense, to assume the exclusive defense and control of any matter subject to indemnification by advertisers.

   Advertisers are reminded that rules that apply in print advertising apply in online advertising. See the Federal Trade Commission’s primer on online advertising for guidance.

   This site’s liability for failure to publish an advertisement shall not exceed a refund of or credit for the charge for such advertisement. This site’s liability for errors in published advertisements shall be to provide advertiser a credit for the actual space of the error if the error is brought to our attention no later than 5 working days after the advertisement first appears, unless a proof of the advertisement was provided to or reviewed by the Advertiser or Agency, in which event Publisher shall have no liability. IN NO EVENT SHALL PUBLISHER BE LIABLE TO ADVERTISER, AGENCY OR ANY OTHER PARTIES FOR ANY FURTHER DAMAGES OF ANY KIND ARISING FROM ADVERTISER’S PLACEMENT OF ADVERTISING, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS.

2. Copyright

   All information, content, services and software displayed on, transmitted through, or used in connection with this site, including for example text, photographs, images, and the like (collectively, the "content"), as well as its selection and arrangement, is owned or licensed by the operators of this site and/or its creators. You, the user, may use the content online only, and solely for your personal, non-commercial use, and you may download or print a single copy of any portion of the content solely for your personal, non-commercial use, provided you do not remove any trademark, copyright or other notice from such content.    This site is controlled, operated and administered in the United States. You may not use this site or export the content in violation of U.S. export laws and regulations. If you access this site from a location outside the United States, you are responsible for compliance with all applicable laws.

6. Trademark

   Please see the National Main Street Program’s website for the terms of its policy on the trademark of the use of the term “Main Street”.

7. Privacy

   The policy of New London Main Street is to only share membership information with other local non-profit organizations that share our mission to revitalize downtown New London. New London Main Street does not and will not sell or lease any membership information.

8. Miscellaneous

   This site reserves the right to change these Terms of Service at any time in its discretion and to notify users of any such changes solely by changing this Terms of Service. Your continued use of this site after the posting of any amended Terms of Service shall constitute your agreement to be bound by any such changes. Your use of this site prior to the time this Terms of Service was posted will be governed according to the Terms of Service that applied at the time of your use.

   This site may modify, suspend, discontinue or restrict the use of any portion of this site, including the availability of any portion of the content at any time, without notice or liability. This site may deny access to any person or user at any time for any reason. In addition, this site may at any time transfer rights and obligations under this agreement to another company. These Terms of Service will be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflicts of law provisions. You hereby agree that any cause of action you may have with respect to this site must be filed in a federal or state court located in Connecticut, within two months of the time in which the events giving rise to such claim began, or you agree to waive such claim.

   If for any reason any provision of this Agreement is found unenforceable, that provision shall be enforced to the maximum extent permissible so as to affect the intent of the parties as reflected in that provision, and the remainder of the Agreement shall continue in full force and effect. Any failure of this site to enforce or exercise any provision of this Agreement or related right shall not constitute a waiver of that right or provision. The section titles used in this Agreement are purely for convenience and carry with them no legal or contractual effect. In the event of termination of this Agreement for any reason, you agree the following provisions will survive: the provisions regarding limitations on your use of the content, the license(s) you have granted to this site, and all other provisions for which survival is equitable or appropriate.
